Ammonia emissions can be sharply reduced when the slurry rapidly, by means of a well functioning discharge system, leaves the pighouse. De omega manchetten zijn voorzien van PVC steunringen, dit voor een optimale passing en voorkoming van foute montage. Deze kunnen niet worden weggeduwd bij het insteken van buis/hulpstuk. De spruiten van de T-stukken zijn bezand met speciale bezandingslijm en zand t.b.v. een goede beton-PVC aansluiting.

De afsluiters en speciale hulpstukken zijn geproduceerd uit geextrudeerd PVC buismateriaal. Geen vloeinaden zoals bij spuitgieten, dus geen zwakke plekken maar een hoge slagvastheid. De spruiten van de T-stukken en de mof van de aftapbuis zijn bevestigd door middel van de unieke felsverbinding. Deze verbinding is zeer betrouwbaar en waterdicht.

Die omega Maschetten sind ausgestattet mit PVC Stützringe, dies für die optimalen Passung und Verhütung von falsche Montage.
Es ist unmöglich die Stützringe zu verdrängen während das hineinstecken des Rohres/Formstückes. Die Ausschlagen sind gesandet mit spezieller Leim und Sand für ein guter Beton/PVC Anschluß.
Die von Inter Continental verwendete, speziell konstruierten T-stücke und Absperrventilen für Ihren Gülleabfluß, erfüllen alle harte Bedingungen von die Internationale ISO 9001 Norm.

Die Abschliesser und spezielle Formstücke sind produziert aus extrudierten PVC/Rohrmaterial, keine Fließnahten so wie beim Spritzgießen, auf diese Weise hat man keine schwache Stellen, aber ein hohen Schlagfestigkeit. Die Ausschlagen des T-Stückes und die Muffe des Central Ablassventiles sind befestigt mittels eine einmaligen Falzverbindung. Diese Verbindung ist sehr zuverlässig und wasserdicht.

Клапана и специальные вспомогательные детали к ним исполнены из поливинилхлорида для труб. Никаких флуинадов, как в случае с оросителями, то есть никаких слабых мест, а наоборот высокая противоударность. Концы Т-образных деталей и труб фиксируются с помощью специально предназначенного для этого обода. Такое соединение обладает высокой степенью надёжности и водонепроницаемо.

Schuifafsluiters van Inter Continental, algemeen
De schuifafsluiters van Inter Continental mogen uitsluitend met manchetverbindingen aan de buis worden gemonteerd. De afsluiters mogen maximaal met een snelheid van 2cm per seconde worden gesloten. De afsluiters dienen verticaal en waterpas gemonteerd te worden, u dient er voor te zorgen dat de afsluiter altijd wordt ondersteund en in geen geval aan de leiding wordt opgehangen. De afsluiter dient altijd zodanig gemonteerd te zijn dat deze te allen tijde uitwisselbaar is. De leidingen dienen na de installatie eerst goed te worden doorgespoeld om zwerfvuil te verwijderen. Zorg bij de montage dat er geen kitresten in de afsluiter terecht komen daar dit een goede werking kan verstoren. De Inter Continental schuifafsluiters verlaten onze fabriek via de eindcontrole in perfecte staat. Omdat het voor ons onmogelijk is toezicht te hebben op transport en montage na aflevering kunnen wij geen aansprakelijkheid aanvaarden omtrent mogelijke gevolgschades. Garantieclaims kunnen alleen behandeld worden als de retour gestuurde afsluiter vergezeld gaat van foto's van de afsluiter zoals deze was gemonteerd. Foutief gemonteerde afsluiters vallen altijd buiten de garantie.
Bij het instorten van schuifafsluiters in beton dient u gebruik te maken van een bekisting. Bij het ingraven in de grond dient u een PVC buis om de afsluiter toe te passen. Dit om te voorkomen dat de afsluiter vervormd en daardoor onbruikbaar wordt.

Inter Continental gate valves may only be connected to the pipework with a socket. The valves may not be closed at a rate exceeding 2cm per second. You must ensure that the valves are always properly supported and are never suspended from the pipework. The valve must always be mounted in such a way that it can always be replaced. After installation, the pipework must first be well flushed through to remove any loose debris. When installing the valve, ensure that no adhesive remains can enter the valve, since this can interfere with proper functioning. Inter Continental gate valves leave our factory after final inspection in perfect condition. Because it is impossible for us to continue supervision during transport and assembly after delivery, we accept no liability for possible consequential damage. Die Schiebeventile von Inter Continental dürfen ausschließlich mit Manschetten an die Leitung montiert werden. Die Schiebeventile dürfen
höchstens mit einer Geschwindigkeit von 2 cm/s geschlossen werden. Die Schiebeventile müssen vertikal und horizontal montiert werden; es ist darauf zu achten, dass das Schiebeventil immer gestützt wird und auf keinen Fall an der Leitung aufgehängt wird. Das Schiebeventil muss immer so montiert werden, dass es jederzeit ausgetauscht werden kann. Die Leitungen müssen nach der Installation erst gut durchgespült werden, um Schmutzpartikel zu entfernen. Achten Sie bei der Montage darauf, dass keine Kittreste in das Schiebeventil gelangen, da es sonst möglicherweise nicht ordnungsgemäß funktioniert. Задвижные клапана Inter Continental можно монтировать на трубы исключительно с помощью манжетных соединений. Клапана можно закрывать со скоростью не выше 2см. в секунду. Клапана должны монтироваться вертикально; Вам нужно позаботиться о том, чтобы клапан всегда имел опору и ни в коем случае не был повешен на трубопровод. Inter Continental -luistiventtiilit, yleistä
Inter Continental –luistiventtiilit voidaan liittää putkistoon vain käyttämällä putkimuhveja. Venttiileitä ei saa sulkea nopeammin kuin 2 cm sekunnissa. Venttiilit tulisi asentaa pysty- ja vaakasuoraan, ja niillä tulee aina olla tuki. Niitä ei kuitenkaan missään tapauksessa saa tukea putkistoon. Venttiili pitäisi aina asentaa niin, että sen voi vaihtaa. Asennuksen jälkeen putkisto täytyy ensin huuhdella hyvin, jotta kaikki irtain jäte poistuu. Venttiiliä asennettaessa on varmistuttava, ettei venttiiliin pääse sideaineen jäänteitä, koska se voi häiritä venttiilin toimintaa. Inter Continental –luistiventtiilit lähtevät tehtaaltamme virheettömässä kunnossa lopputarkastuksen jälkeen. Jos luistiventtiilit asennetaan valubetoniin, tulisi aina käyttää kehikkoa. Hiekkaan asennettaessa tulisi suojana käyttää PVC-putkea venttiilin ympärillä. Näin estetään venttiilin vääntyminen käyttökelvottomaksi.

Van Inter Continental Chemicals and Equipment BV, gevestigd te (5705 CS) Helmond aan de Zuiddijk 19, ingeschreven bij de Kamer van Koophandel Zuid Oost Brabant onder nr. 17029417.
ARTIKEL 1.
Toepasselijkheid.
1.1
Deze Algemene Voorwaarden zijn van toepassing op alle onderhandelingen, offertes, overeenkomsten, werkopdrachten en leveringen van de besloten vennootschap met beperkte aansprakelijkheid Inter Continental Chemicals and Equipment BV en de met haar verbonden vennootschappen en leidinggevenden, verder ook te noemen Inter Continental.
1.2
Inter Continental verwerpt uitdrukkelijk de toepasselijkheid van Algemene Voorwaarden die door afnemers van toepassing werden of worden verklaard, tenzij en voor zover Inter Continental uitdrukkelijk en schriftelijk de toepasselijkheid daarvan heeft aanvaard.
1.3
Deze Algemene Voorwaarden zijn ook van toepassing op alle handelingen, leveringen en gedragingen van Inter Continental, voorafgaand aan het sluiten van een overeenkomst.
ARTIKEL 2.
Aanbiedingen en bevestigingen
2.1
De aanbiedingen van Inter Continental zijn vrijblijvend en kunnen worden ingetrokken of gewijzigd zolang Inter Continental niet aan afnemers heeft bevestigd met acceptatie akkoord te gaan.
2.2
Handelingen, mededelingen, toezeggingen of genoteerde opdrachten door Inter Continental binden haar slechts indien en voor zover deze door haar schriftelijk zijn bevestigd.
2.3
Aanbiedingen zijn, onverminderd het sub 2.1 bepaalde geldend gedurende de periode die in de aanbieding wordt genoemd.
ARTIKEL 3.
Overeenkomst
3.1 Een overeenkomst tussen partijen komt schriftelijk tot stand dan wel doordat Inter Continental met uitvoeringshandelingen is begonnen. De door Inter Continental verzonden orderbevestiging of bij gebreke daarvan de afleveringsbon geldt als volledig bewijs van de overeenkomst, dan wel bij gebreke daarvan de factuur, behoudens eventuele onjuistheden die de afnemer binnen 8 dagen na datum van verzending schriftelijk kenbaar heeft gemaakt.
3.2 Een overeenkomst die een afnemer heeft gesloten met een vertegenwoordiger of tussenpersoon van Inter Continental is slechts geldend indien en voor zover de vertegenwoordiger of tussenpersoon beschikt over een daartoe strekkende schriftelijke volmacht.
3.3 Tegenover de afnemer heeft de administratie van Inter Continental volledige bewijskracht.
ARTIKEL 4.
Prijzen
4.1
Tenzij schriftelijk anders is overeengekomen gelden terzake door Inter Continental geaccepteerde opdrachten, de prijzen en condities per de datum waarop de opdracht schriftelijk is bevestigd.
4.2
De in lid 1 van dit artikel genoemde prijzen zijn exclusief de eventueel terzake verschuldigde omzetbelasting, invoerrechten en andere heffingen, zoals deze gelden ten tijde van het tot stand komen van de overeenkomst.
4.3
Indien na het sluiten van de overeenkomst doch voor de levering wijzingen optreden in materiaal prijzen, (loon)kosten, sociale lasten of belastingen, in- en uitvoerrechten, dan heeft Inter Continental het recht deze alsnog door te berekenen, ongeacht of deze wijzigingen voorzienbaar waren.
ARTIKEL 5.
Betalingen
5.1
Inter Continental verlangt te allen tijde van afnemers contante betaling te voldoen voor en uiterlijk ten tijde van levering, dan wel is zij gerechtigd te vorderen dat door de afnemer zekerheid wordt gesteld in de vorm van een bankgarantie of op een andere door Inter Continental aan te geven wijze voor de nakoming van diens verplichtingen voortvloeiende uit enige overeenkomst met Inter Continental.
5.2
Indien zekerheid wordt gesteld in de vorm van een bankgarantie en wanneer de overeengekomen betalingstermijnen door de afnemer worden nagekomen, is deze gerechtigd de gestelde zekerheid naar rato te verminderen.
5.3
Indien de afnemer met betaling dan wel zekerheidsstelling nalatig is, is Inter Continental zonder dat voorafgaande ingebrekestelling is vereist, gerechtigd de uitvoering van haar verplichtingen op te schorten, onverminderd haar overige bevoegdheden ingevolge wet of overeenkomst.
5.4
Indien de afnemer met de betaling nalatig is, zijn alle buitengerechtelijke kosten ter incasso van de vordering door Inter Continental voor rekening van de afnemer. De buitengerechtelijke kosten worden reeds nu voor alsdan gefixeerd op 12 % van het verschuldigde bedrag, met een minimum van € 500,-. Deze kosten zijn reeds verschuldigd en opeisbaar, zodra de vordering ter incasso uit handen is gegeven.
5.5
Bij niet-tijdige betaling is de afnemer eveneens rente van 1,0 % per maand verschuldigd over het openstaande bedrag, te rekenen vanaf de dag waarop de vordering opeisbaar is geworden, waarbij een gedeelte van een maand voor een gehele maand wordt gerekend, zonder dat daartoe ingebrekestelling is vereist door middel van een schriftelijke verklaring .
ARTIKEL 6.
Keuringen
6.1
Indien met de afnemer keuringen zijn overeengekomen, zullen deze keuringen steeds plaats hebben overeenkomstig de overeengekomen of tijdig overeen te komen keuringsmethode, keuringsprocedures en keuringstermijnen of bij gebreke daarvan overeenkomstig de bij Inter Continental gebruikelijke keuringsmethode, procedures en termijnen. Keuringen mogen geen oorzaak worden van vertragingen in de voortgang van de afname.
6.2
Indien Inter Continental aan de afnemer binnen de overeengekomen termijn, althans tijdig, de datum van de keuring heeft doorgegeven en de afnemer binnen een redelijke termijn geen gevolg geeft aan de uitnodiging, worden de goederen geacht te zijn goedgekeurd.
6.3
Inter Continental zal gelegenheid worden gegeven aan opmerkingen en bezwaren van de afnemer ten aanzien keuring of beproeving tegemoet te komen, alvorens de voorwerpen door de afnemer afgekeurd of geweigerd kunnen worden.
ARTIKEL 7.
Levertijd
7.1
Opgegeven levertijden gelden bij benadering tenzij schriftelijk anders is overeengekomen.
7.2
De overeengekomen levertijd gaat in, zodra Inter Continental de opdracht schriftelijk heeft aanvaard, in het bezit is van alle door de afnemer bij de opdracht te verstrekken voorwerpen, bescheiden en gegevens en Inter Continental de eventueel overeengekomen vooruitbetaling heeft ontvangen.
7.3
Ten aanzien van de levertijd gelden goederen als geleverd, zodra Inter Continental kennis geeft van hun gereedheid ter verzending of beproeving.
ARTIKEL 8.
Levering
8.1
Voor zover niet anders is overeengekomen vindt levering plaats af fabriek.
8.2
Voor uitleg van handelstermen in dit artikel is de jongste editie van de Incoterms van toepassing, uitgegeven door de Internationale Kamer van Koophandel te Parijs.
8.3
In afwijking van het bepaalde in deze Incoterms is molest voor rekening en risico van de afnemer vanaf de datum van opdrachtbevestiging.
8.4
Indien levering van de goederen door de afnemer wordt geweigerd, gaat onmiddellijk het risico van de goederen over op de afnemer en kan Inter Continental direct aanspraak maken op betaling. Inter Continental zal de goederen bewaren voor rekening en risico van de afnemer tot nader order.
8.5
Inter Continental heeft het recht om bij in gebreke blijven van de afnemer na sommatie zich te ontdoen van, of een andere bestemming te geven aan, de goederen. Een eventuele opbrengst ervan wordt aan de afnemer gecrediteerd onder aftrek van alle daarmee verbandhoudende kosten, onverminderd het recht van Inter Continental op volledige betaling van de overeengekomen prijs.
ARTIKEL 9.
Verzending.
9.1
De inlading en het vervoer van de goederen bij levering af fabriek geschiedt voor rekening en risico van de afnemer.
9.2
Indien Inter Continental bij levering af fabriek de transportverzekering ten behoeve van de opdrachtgever afsluit, geschiedt dit voor rekening en risico van de afnemer.
9.3
Indien Inter Continental op zich heeft genomen aan het door de afnemer opgegeven adres te leveren is zij vrij in de keuze van het vervoer. De afnemer is in dat geval verplicht bij schade of verlies ontstaan gedurende het vervoer tijdig de vereiste stappen tot verhaal tegen de vervoerder te nemen. De afnemer dient op straffe van verval van aanspraken onverwijld aan Inter Continental opgave te doen van de vastgestelde schade of van het verlies alsmede van de ondernomen stappen jegens de vervoerder.
ARTIKEL 10 .
Eigendomsvoorbehoud
10.1
Zolang de afnemer enige verbintenis jegens Inter Continental niet volledig is nagekomen blijven geleverde goederen eigendom van Inter Continental en wel voor rekening en risico van de afnemer. De afnemer wordt in dat geval geacht de goederen voor Inter Continental te houden tot het tijdstip waarop zij haar verplichtingen jegens Inter Continental volledig is nagekomen.
10.2
Zolang de eigendom van de goederen niet op de afnemer is overgegaan, heeft zij niet het recht de goederen op enigerlei wijze te vervreemden, verhuren of bezwaren, behoudens en voor zover het de normale uitoefening van het bedrijf betreft, zulks na toestemming van Inter Continental, in welk geval de afnemer zijn vordering op derden reeds nu voor alsdan aan Inter Continental cedeert en aan Inter Continental op diens eerste verzoek de akte van cessie zal verstrekken. Te harer keuze kan Inter Continental ook vestiging van een stil pandrecht bij voorbaat verlangen.
10.3
Indien de afnemer haar betalingsverplichtingen niet nakomt is zij gehouden zonder nadere ingebrekestelling Inter Continental op eerste verzoek de aan haar in eigendom toebehorende goederen ter beschikking te stellen. Aan Inter Continental en diens werknemers komt het recht toe het terrein van de afnemer te betreden om zich het feitelijk bezit van de geleverde goederen te verschaffen.
10.4
De afnemer verplicht zich de belangen van Inter Continental in verband met het eigendomsvoorbehoud te verzekeren. De afnemer verplicht zich dit belang bij een calamiteit te vergoeden en op eerste verzoek haar vordering op haar assuradeuren aan Inter Continental te cederen.
ARTIKEL 11 .
Auteursrechten
11.1
Tenzij schriftelijk anders is overeengekomen blijven tekeningen, beschrijvingen, berekeningen, schema's en systemen welke door Inter Continental aan de afnemer in verband met de overeenkomst beschikbaar worden gesteld volledig eigendom van Inter Continental.
ARTIKEL 12.
Reclames
12.1
Klachten over door Inter Continental geleverde goederen dienen uiterlijk binnen 10 werkdagen na ontvangst van de geleverde goederen door de afnemer aan Inter Continental schriftelijk en gemotiveerd medegedeeld te worden.
12.2
Het indienen van reclames ontheft de afnemer niet van diens verplichting tot betaling van de factuur binnen de overeengekomen termijn.
12.3
In geval van niet tijdige reclame wordt de afnemer geacht de geleverde goederen onvoorwaardelijk te hebben geaccepteerd.
12.3
Inter Continental bepaalt of de geleverde goederen dienen te worden teruggezonden of dat de afnemer de goederen beschikbaar dient te houden, opdat Inter Continental de gelegenheid heeft de betreffende goederen te onderzoeken.
12.4
De afnemer is gehouden nadere instructies van Inter Continental terzake het gestelde in artikel 12.3 op te volgen, bij gebreke waarvan de rechten van de afnemer vervallen.
ARTIKEL 13.
Aansprakelijkheid
13.1
Inter Continental is niet aansprakelijk voor schade vanwege niet, niet tijdig of niet behoorlijk uitvoeren van een overeenkomst, dan wel vanwege eventuele aansprakelijkheid op grond van de wet scheppende gedragingen van haar of haar werknemers, of het afwezig zijn daarvan, behoudens en voor zover de afnemer kan aantonen dat sprake is van opzet of grove schuld van Inter Continental en/of haar leidinggevenden.
13.2
Inter Continental is in geen geval aansprakelijk voor bedrijfsschade en / of gevolgschade van de afnemer.
13.3
Aansprakelijkheid voor schade wordt uitdrukkelijk beperkt tot het bedrag van de (deel) factuur van de levering, waarop het betrekking heeft, althans waar het mee samen hangt.
13.4
Inter Continental is nimmer aansprakelijk voor schade indien de afnemer niet binnen 14 dagen na kennis te hebben genomen van de schadeoorzaak Inter Continental per aangetekend schrijven voor de schade aansprakelijk heeft gesteld en haar de gelegenheid heeft geboden een onderzoek naar de schadeoorzaak te verrichten.
13.5
Indien de afnemer derden handelingen met of bewerkingen aan door Inter Continental geleverde zaken laat verrichten, zonder hiertoe schriftelijk gemachtigd te zijn door Inter Continental, is Inter Continental nimmer aansprakelijk voor schade door die derden aan de zaken toegebracht.
13.6
Inter Continental is in geen geval aansprakelijk voor schade en/of boetes tengevolge van en na het doen exporteren van de goederen door de afnemer of derden in het bijzonder niet, indien de goederen niet voldoen aan de wettelijke en andere normen van het land waarnaar wordt geëxporteerd.
13.7
Indien en voor zover Inter Continental aansprakelijk is voor schade van de afnemer of derden en terzake van die aansprakelijkheid is verzekerd, is zij slechts verplicht schade toegebracht aan de afnemer te vergoeden tot ten hoogste het bedrag dat door haar verzekeraar(s) wordt uitgekeerd. De polisvoorwaarden liggen voor afnemers bij Inter Continental ter inzage.
ARTIKEL 14.
Overmacht
14.1
In geval van een tekortkoming door een van beide partijen in de nakoming van de overeenkomst welke tekortkoming aan de tekortkomende partij niet kan worden toegerekend, zal de uitvoering van de overeenkomst of van het betreffende gedeelte van de overeenkomst worden opgeschort. Partijen zullen elkaar zo spoedig mogelijk van een dergelijke situatie op de hoogte stellen. Eerst indien een dergelijke opschorting 3 maanden heeft geduurd, of zodra vaststaat dat deze tenminste 3 maanden zal duren, kan elk van beide partijen de overeenkomst per aangetekend schrijven met onmiddellijke ingang geheel of gedeeltelijk ontbinden, zonder dat partijen daarbij over en weer tot vergoeding van enige schade gehouden zullen zijn, onverminderd de gehoudenheid van de afnemer tot betaling aan Inter Continental van de tot het moment van ontbinding reeds geleverde goederen.
14.2
Als niet toerekenbare tekortkoming aan de zijde van Inter Continental wordt in ieder geval, maar niet uitsluitend begrepen:
schade tengevolge van natuurrampen en/of stormschade en/of waterschade
oorlog, oorlogsgevaar en / of elke andere vorm van gewapend conflict inclusief terrorisme of dreiging daarvan in Nederland en / of andere landen waardoor levering van goederen of grondstoffen wordt belemmerd
werkstakingen, gedwongen bedrijfssluiting oproer en elke andere vorm van storing en / of belemmering door derden veroorzaakt, waardoor levering van goederen of grondstoffen wordt belemmerd
verlies of beschadiging van goederen bij transport
ziekte van een of meer bezwaarlijk te vervangen werknemers
wetgevende of administratieve maatregelen van overheidswege waardoor leveringen worden belemmerd, hieronder begrepen in- en uitvoerverboden
verbod tot of belemmering van levering aan Inter Continental opgelegd door organisaties, instellingen, groepen of contractuele vormen van samenwerking, waarbij Inter Continental is aangesloten of waarvan zij deel uitmaakt
gebrek en / of storingen in middelen van vervoer, productieapparatuur of energievoorzieningen
brand of ongevallen in het bedrijf van Inter Continental
niet of niet tijdige levering aan Inter Continental door toeleveranciers
stagnatie in aanvoer van goederen, grondstoffen en/of energie
ARTIKEL 15
Beëindiging
15.1
Indien de afnemer met tijdige betaling of nakoming van andere verplichtingen jegens Inter Continental in gebreke blijft, is Inter Continental na voorafgaande ingebrekestelling met een termijn van 14 dagen, behoudens in de gevallen waarin de overeenkomst of de algemene voorwaarden een duidelijke termijn voor nakoming bevatten, bevoegd de overeenkomst van rechtswege als ontbonden te beschouwen onverminderd het recht van Inter Continental op volledige vergoeding van kosten, schade en interessen.
15.2
Eenzelfde bevoegdheid als in 15.1 komt Inter Continental toe indien door de afnemer voorlopige surseance van betaling is aangevraagd dan wel het faillissement van haar is aangevraagd of beslag op goederen van haar wordt gelegd, in geval van stakingen of liquidatie van diens onderneming dan wel in die gevallen waarin naar het oordeel van Inter Continental sprake is van verminderde kredietwaardigheid van de afnemer.
ARTIKEL 16.
Overige bepalingen
16.1
De afnemer is gehouden Inter Continental te vrijwaren voor alle kosten en schade, waarin Inter Continental mocht vervallen doordat derden een vordering jegens haar instellen terzake van een feit, waarvoor aansprakelijkheid jegens de afnemer in deze algemene voorwaarden is uitgesloten.
16.2
Alle bedingen betreffende de uitsluiting op beperking van de aansprakelijkheid van Inter Continental en betreffende de vrijwaring van Inter Continental voor aanspraken van derden, zijn mede bedongen ten behoeve van diegenen die in dienst zijn van Inter Continental als wel derden voor wiens handelen dan wel nalaten Inter Continental aansprakelijk is.
16.3
Indien een van de bedingen van deze algemene voorwaarden nietig wordt geoordeeld, heeft het geen gevolg voor de geldigheid van de overige bepalingen van deze algemene voorwaarden.
ARTIKEL 17.
Toepasselijk recht
17.1
Alle onderhandelingen en overeenkomsten waarop deze algemene voorwaarden toepasselijk zijn, zijn aan het Nederlandse recht onderworpen.
17.2
Het Weens koopverdrag gesloten op 11 april 1980 te Wenen is niet van toepassing.
ARTIKEL 18.
Bevoegde rechter
18.1
Geschillen die mochten ontstaan naar aanleiding van een overeenkomst waarop deze algemene voorwaarden van toepassing zijn, zullen in eerste aanleg worden beslecht door de bevoegde Nederlandse rechter in het Arrondissement 's-Hertogenbosch.

ARTICLE 1.
Applicability
1.1 These General Terms and Conditions are applicable to all negotiations, quotations, agreements, work orders and deliveries of the private company with limited liability Inter Continental Chemicals and Equipment B.V. and its affiliated companies and executive officers, hereinafter also referred to as Inter Continental.
1.2. Inter Continental explicitly rejects the applicability of General Terms and Conditions that have been or will be declared applicable by customers, unless and in so far as Inter Continental explicitly accepts the applicability thereof, in writing.
1.3 These General Terms and Conditions also apply to all acts, deliveries and practices of Inter Continental prior to the conclusion of an agreement.
ARTICLE 2.
Offers and confirmations
2.1 The offers of Inter Continental are without obligation and may be withdrawn or modified until such time as Inter Continental has confirmed to its customers that it agrees with the acceptance thereof.
2.2 Acts, notifications, commitments or orders noted by Inter Continental shall only be binding upon Inter Continental if and in so far as these have been confirmed in writing by Inter Continental.
2.3 Offers shall, subject to the provisions referred to in 2.1, be valid during the period referred to in the offer.
ARTICLE 3.
Agreement
3.1 An agreement between the parties will be concluded either in writing or due to the fact that Inter Continental has commenced with the performance of services. The confirmation of order sent by Inter Continental or, in the absence thereof, the delivery note, count as conclusive evidence of the agreement, or, in the absence thereof, the invoice, except for any inaccuracies, which the customer has made known in writing within 8 days of the date of dispatch.
3.2 An agreement concluded by a customer with a representative or intermediary of Inter Continental shall only be valid if and in so far as the representative or intermediary is in the possession of a written power of attorney for this purpose.
3.3 With respect to the customer, the accounts of Inter Continental have complete evidential value.
ARTICLE 4.
Prices
4.1 Unless otherwise agreed upon in writing, in respect of orders accepted by Inter Continental, the prices and conditions shall apply as from the date on which the order is confirmed in writing.
4.2. The prices referred to in paragraph 1 of this article are exclusive of the relevant turnover tax, import duties and other levies that may be due and are valid at the time the agreement is concluded.
4.3 In the event that, after the agreement was concluded, yet prior to delivery, any changes occur in material prices, (labour) costs, social security costs or taxes, import and export duties, Inter Continental shall have the right to still pass these on, irrespective of whether these changes were foreseeable.
ARTICLE 5.
Payments
5.1 Inter Continental requires all its customers at all times to pay in cash prior to and not later than the time of delivery, or Inter Continental will be entitled to demand that the customer provide security in the form of a bank guarantee, or in any other manner to be specified by Inter Continental, for the fulfilment of its obligations arising from any agreement with Inter Continental.
5.2. In the event that security is provided in the form of a bank guarantee and if the agreed upon terms of payment are observed by the customer, the customer is entitled to decrease the provided security pro rata.
5.3 In the event that the customer is in default as regards payment or provision of security, Inter Continental will be entitled, without prior notice of default being required, to suspend the performance of its obligations, without prejudice to its other powers by virtue of the law or agreement.
5.4 In the event that the customer is in default as regards payment, all extrajudicial costs for collection of the claim by Inter Continental shall be borne by the customer. The extrajudicial costs will now for then be fixed at 12% of the amount due, with a minimum of EUR 500. These costs will already be due and payable from the moment the claim is passed on for collection.
5.5 In case of overdue payment, the customer will also owe interest of 1.0% a month over the outstanding amount, beginning on the day on which the claim has become due and payable, in which respect part of a month is counted as a whole month, without any notice of default being required with regard thereto by means of a written statement.
ARTICLE 6.
Inspections
6.1 In the event that inspections have been agreed upon with the customer, these inspections will always take place in accordance with the inspection method, inspection procedures and inspection periods agreed upon or to be agreed upon in good time or, in the absence thereof, in accordance with the inspection method, procedures and periods commonly used at Inter Continental. Inspections may not become a cause of delays in the purchase process.
6.2 In the event that Inter Continental has passed on the date of the inspection to the customer within the agreed upon period, or at least in good time, and the customer does not act upon this invitation, the goods will be considered to have been approved.
6.3 Inter Continental will be given the opportunity to react to the comments and objections of the customer with regard to the inspection or test, before the objects can be rejected or refused by the customer.
ARTICLE 7.
Delivery period
7.1 Delivery periods stated will be approximate, unless otherwise agreed upon in writing.
7.2 The delivery period agreed upon will commence as soon as Inter Continental has accepted the order in writing, is in possession of all the objects, documents and information to be provided by the customer with the order and Inter Continental has received any advance payment agreed upon.
7.3 With regard to the delivery period, goods will be considered delivered as soon as Inter Continental has given notification of its readiness for dispatch or testing.
ARTICLE 8.
Delivery
8.1 In so far as not otherwise agreed upon, delivery will take place ex factory.
8.2 For an explanation of the business terms used in this article, the most recent edition of the Incoterms applies, published by the International Chamber of Commerce in Paris .
8.3 In derogation of the provisions of this Incoterms, acts of war are at the expense and risk
of the customer from the date of the confirmation of order.
8.4 In the event that delivery of the goods is refused by the customer, the risk of the goods will pass immediately to the customer and Inter Continental can immediately claim payment. Inter Continental will keep the goods at the expense and risk of the customer until further notice.
8.5 Inter Continental has the right, should the customer remain in default after a demand for payment, to dispose of the goods or put these to another use. Any proceeds thereof will be credited to the customer, after deduction of all the costs related thereto, without prejudice to the right of Inter Continental to full payment of the agreed price.
ARTICLE 9.
Dispatch
9.1 The loading and transport of the goods in the case of delivery ex factory will be at the expense and risk of the customer.
9.2 If Inter Continental, in the case of delivery ex factory, takes out goods-in-transit insurance for the commissioning party, this will be at the expense and risk of the customer.
9.3 If Inter Continental has undertaken to deliver to the address stated by the customer, Inter Continental is free to decide on the transport. In that case, the customer is obliged, in the event of damage and/or loss caused during the transport, to take the necessary steps for recourse against the carrier, in good time. The customer shall, under penalty of forfeiture of all claims, inform Inter Continental forthwith of the assessed damage and/or loss, as well as the steps taken against the carrier.
ARTICLE 10.
Retention of title
10.1 Until such time as the customer has fully discharged all obligations towards Inter Continental, Inter Continental will retain title to the delivered goods and this at the expense and risk of the customer. In that case, the customer will be expected to keep the goods for Inter Continental until such time as the customer has fully discharged its obligations towards Inter Continental.
10.2 Until such time as the ownership of the goods has passed to the customer, the customer will not have the right to alienate, rent out or encumber the goods in any way, except and in so far as this concerns the normal operating of the business, such after permission from Inter Continental, in which case the customer will assign, now for then, the customer's claim on any third party to Inter Continental and will provide Inter Continental, on the latter's first demand, with the deed of assignment. Inter Continental may, at its discretion, also require, in advance, the establishment of a right of pledge without notification to the debtor.
10.3 In the event that the customer fails to fulfil its obligations to pay, the customer will be obliged, without further notice of default, to place the goods owned by them at the disposal of Inter Continental on first demand. Inter Continental and its employees have the right to enter the premises of the customer in order to take actual possession of the delivered goods.
10.4 The customer undertakes to insure the interests of Inter Continental in connection with the retention of title. The customer undertakes to compensate Inter Continental for the loss of this interest in the event of a calamity and, on first demand, to assign its claim on its insurers to Inter Continental.
ARTICLE 11.
Copyright
11.1 Unless otherwise agreed upon in writing, Inter Continental will retain full title to any drawings, descriptions, calculations, diagrams and systems made available to the customer by Inter Continental in connection with the agreement.
ARTICLE 12.
Complaints
12.1 In the event of any complaints about goods delivered by Inter Continental, Inter Continental must be informed thereof by the customer in writing and stating the reasons for the complaint, within not more than 10 working days of receipt of the delivered goods.
12.2 The lodging of a complaint will not release the customer from its obligation to pay the invoice within the period of time agreed upon.
12.3 If a complaint is not lodged in time, the customer is deemed to have unconditionally accepted the delivered goods
12.4. Inter Continental shall determine whether the delivered goods must be returned or whether the customer must keep the goods available, so that Inter Continental will have the opportunity to examine the goods concerned.
12.5 The customer is obliged to follow any further instructions by Inter Continental in respect of that which is set out in Article 12.4, in default whereof the rights of the customer will lapse.
ARTICLE 13.
Liability
13.1 Inter Continental is not liable for damage and/or loss caused by failure to fulfil an agreement, failure to do so in good time or failure to do so properly, or due to any liability for actions of Inter Continental or its employees performed in accordance with the law, or the absence thereof, except and in so far as the customer is able to prove that gross negligence is involved on the part of Inter Continental and/or its executive officers.
13.2 Inter Continental is in no way liable for trading loss and/or consequential loss of the customer.
13.3 Liability for damage and/or loss is expressly limited to the amount of the (sub) invoice of the delivery to which it pertains or at least to which it is connected.
13.4 Inter Continental is never liable for damage and/or loss if the customer has not held Inter Continental liable for the damage and/or loss by registered letter within 14 days of having taken note of the cause of the damage and/or loss and has not offered Inter Continental the opportunity to conduct an investigation into the cause of the damage and/or loss.
13.5 In the event that the customer has any third party perform an act or carry out a treatment on matters delivered by Inter Continental, without having been authorised thereto in writing by Inter Continental, the latter will never be liable for damage caused to these matters by such third party.
13.6 Inter Continental is in no way liable for damage and/or loss and/or penalties as a result of the goods having been exported and after the goods have been exported by the customer or any third party, in particular not if the goods do not comply with the legal and other standards of the country to which they are exported.
13.7 If and in so far as Inter Continental is liable for damage and/or loss of the customer or any third party and is insured against such liability, Inter Continental will only be obliged to compensate the damage and/or loss caused to the customer for an amount not exceeding that which is paid out by its insurer(s). The policy conditions are available for inspection by the customer at Inter Continental.
ARTICLE 14.
Force majeure
14.1 In the event of failure, by either party, in the performance of the agreement, which failure cannot be attributed to the defaulting party, the performance of the agreement or the relevant part of the agreement will be suspended. The parties will inform one another of such a situation as soon as possible. Not until such a suspension has lasted for 3 months, or as soon as it becomes an established fact that such a suspension will last at least 3 months, either of the parties may dissolve the agreement, either in whole or in part, with immediate effect, by registered letter, without the parties being obliged to pay compensation reciprocally for any damage and/or loss incurred, without prejudice to the obligation of the customer to pay Inter Continental for the goods already delivered until the moment of dissolution.
14.2 A non-attributable failing on the part of Inter Continental includes, without limitation:
damage and/or loss as a result of natural disasters and/or storm damage and/or water damage

ARTICLE 15
Termination
15.1 In the event that the customer remains in default with timely payment or fulfilment of other obligations towards Inter Continental, the latter is authorised, after prior notice of default with a time-limit of 14 days, except where the agreement or the General Terms and Conditions contains a clear time-limit for fulfilment of obligations, to deem the agreement to be dissolved by operation of law, without prejudice to the right of Inter Continental to full compensation of costs, damage and interest.
15.2 A similar authority as in 15.1 is vested in Inter Continental if a provisional moratorium on payments has been applied for by the customer or the petition for involuntary liquidation of the customer has been filed or goods of the customer have been seized, in case of strikes or winding-up of the customer's company or in those cases where, in the opinion of Inter Continental, there is a question of reduced creditworthiness of the customer.
ARTICLE 16.
Other stipulations
16.1 The customer is obliged to indemnify Inter Continental against all costs incurred and damage and/or loss sustained by Inter Continental as a result of a third party bringing an action against Inter Continental in respect of a fact for which liability towards the customer is excluded in these General Terms and Conditions.
16.2 All stipulations regarding the exclusion of limitation of liability of Inter Continental and regarding the indemnification of Inter Continental against claims from third parties have also been included for the benefit of those in the employ of Inter Continental, as well as third parties for whose acts or omissions Inter Continental is liable.
16.3 Should one of the stipulations of these General Terms and Conditions be judged null and void, this shall have no consequences for the other stipulations of these General Terms and Conditions.
ARTICLE 17.
Applicable law
17.1 All negotiations and agreements to which these General Terms and Conditions apply are governed by the laws of the Netherlands .
17.2 The Vienna Sales Convention concluded in Vienna on 11 April 1980 is not applicable.
ARTICLE 18.
Competent court
18.1 Any disputes that may arise by reason of an agreement to which these General Terms and Conditions apply, will be resolved in the first instance by the court which has jurisdiction in the Netherlands in the district of ‘s-Hertogenbosch.

ARTICLE 1.
Applicability
1.1 These General Terms and Conditions are applicable to all negotiations, quotations, agreements, work orders and deliveries of the private company with limited liability Inter Continental Chemicals and Equipment B.V. and its affiliated companies and executive officers, hereinafter also referred to as Inter Continental.
1.2. Inter Continental explicitly rejects the applicability of General Terms and Conditions that have been or will be declared applicable by customers, unless and in so far as Inter Continental explicitly accepts the applicability thereof, in writing.
1.3 These General Terms and Conditions also apply to all acts, deliveries and practices of Inter Continental prior to the conclusion of an agreement.
ARTICLE 2.
Offers and confirmations
2.1 The offers of Inter Continental are without obligation and may be withdrawn or modified until such time as Inter Continental has confirmed to its customers that it agrees with the acceptance thereof.
2.2 Acts, notifications, commitments or orders noted by Inter Continental shall only be binding upon Inter Continental if and in so far as these have been confirmed in writing by Inter Continental.
2.3 Offers shall, subject to the provisions referred to in 2.1, be valid during the period referred to in the offer.
ARTICLE 3.
Agreement
3.1 An agreement between the parties will be concluded either in writing or due to the fact that Inter Continental has commenced with the performance of services. The confirmation of order sent by Inter Continental or, in the absence thereof, the delivery note, count as conclusive evidence of the agreement, or, in the absence thereof, the invoice, except for any inaccuracies, which the customer has made known in writing within 8 days of the date of dispatch.
3.2 An agreement concluded by a customer with a representative or intermediary of Inter Continental shall only be valid if and in so far as the representative or intermediary is in the possession of a written power of attorney for this purpose.
3.3 With respect to the customer, the accounts of Inter Continental have complete evidential value.
ARTICLE 4.
Prices
4.1 Unless otherwise agreed upon in writing, in respect of orders accepted by Inter Continental, the prices and conditions shall apply as from the date on which the order is confirmed in writing.
4.2. The prices referred to in paragraph 1 of this article are exclusive of the relevant turnover tax, import duties and other levies that may be due and are valid at the time the agreement is concluded.
4.3 In the event that, after the agreement was concluded, yet prior to delivery, any changes occur in material prices, (labour) costs, social security costs or taxes, import and export duties, Inter Continental shall have the right to still pass these on, irrespective of whether these changes were foreseeable.
ARTICLE 5.
Payments
5.1 Inter Continental requires all its customers at all times to pay in cash prior to and not later than the time of delivery, or Inter Continental will be entitled to demand that the customer provide security in the form of a bank guarantee, or in any other manner to be specified by Inter Continental, for the fulfilment of its obligations arising from any agreement with Inter Continental.
5.2. In the event that security is provided in the form of a bank guarantee and if the agreed upon terms of payment are observed by the customer, the customer is entitled to decrease the provided security pro rata.
5.3 In the event that the customer is in default as regards payment or provision of security, Inter Continental will be entitled, without prior notice of default being required, to suspend the performance of its obligations, without prejudice to its other powers by virtue of the law or agreement.
5.4 In the event that the customer is in default as regards payment, all extrajudicial costs for collection of the claim by Inter Continental shall be borne by the customer. The extrajudicial costs will now for then be fixed at 12% of the amount due, with a minimum of EUR 500. These costs will already be due and payable from the moment the claim is passed on for collection.
5.5 In case of overdue payment, the customer will also owe interest of 1.0% a month over the outstanding amount, beginning on the day on which the claim has become due and payable, in which respect part of a month is counted as a whole month, without any notice of default being required with regard thereto by means of a written statement.
ARTICLE 6.
Inspections
6.1 In the event that inspections have been agreed upon with the customer, these inspections will always take place in accordance with the inspection method, inspection procedures and inspection periods agreed upon or to be agreed upon in good time or, in the absence thereof, in accordance with the inspection method, procedures and periods commonly used at Inter Continental. Inspections may not become a cause of delays in the purchase process.
6.2 In the event that Inter Continental has passed on the date of the inspection to the customer within the agreed upon period, or at least in good time, and the customer does not act upon this invitation, the goods will be considered to have been approved.
6.3 Inter Continental will be given the opportunity to react to the comments and objections of the customer with regard to the inspection or test, before the objects can be rejected or refused by the customer.
ARTICLE 7.
Delivery period
7.1 Delivery periods stated will be approximate, unless otherwise agreed upon in writing.
7.2 The delivery period agreed upon will commence as soon as Inter Continental has accepted the order in writing, is in possession of all the objects, documents and information to be provided by the customer with the order and Inter Continental has received any advance payment agreed upon.
7.3 With regard to the delivery period, goods will be considered delivered as soon as Inter Continental has given notification of its readiness for dispatch or testing.
ARTICLE 8.
Delivery
8.1 In so far as not otherwise agreed upon, delivery will take place ex factory.
8.2 For an explanation of the business terms used in this article, the most recent edition of the Incoterms applies, published by the International Chamber of Commerce in Paris .
8.3 In derogation of the provisions of this Incoterms, acts of war are at the expense and risk
of the customer from the date of the confirmation of order.
8.4 In the event that delivery of the goods is refused by the customer, the risk of the goods will pass immediately to the customer and Inter Continental can immediately claim payment. Inter Continental will keep the goods at the expense and risk of the customer until further notice.
8.5 Inter Continental has the right, should the customer remain in default after a demand for payment, to dispose of the goods or put these to another use. Any proceeds thereof will be credited to the customer, after deduction of all the costs related thereto, without prejudice to the right of Inter Continental to full payment of the agreed price.
ARTICLE 9.
Dispatch
9.1 The loading and transport of the goods in the case of delivery ex factory will be at the expense and risk of the customer.
9.2 If Inter Continental, in the case of delivery ex factory, takes out goods-in-transit insurance for the commissioning party, this will be at the expense and risk of the customer.
9.3 If Inter Continental has undertaken to deliver to the address stated by the customer, Inter Continental is free to decide on the transport. In that case, the customer is obliged, in the event of damage and/or loss caused during the transport, to take the necessary steps for recourse against the carrier, in good time. The customer shall, under penalty of forfeiture of all claims, inform Inter Continental forthwith of the assessed damage and/or loss, as well as the steps taken against the carrier.
ARTICLE 10.
Retention of title
10.1 Until such time as the customer has fully discharged all obligations towards Inter Continental, Inter Continental will retain title to the delivered goods and this at the expense and risk of the customer. In that case, the customer will be expected to keep the goods for Inter Continental until such time as the customer has fully discharged its obligations towards Inter Continental.
10.2 Until such time as the ownership of the goods has passed to the customer, the customer will not have the right to alienate, rent out or encumber the goods in any way, except and in so far as this concerns the normal operating of the business, such after permission from Inter Continental, in which case the customer will assign, now for then, the customer's claim on any third party to Inter Continental and will provide Inter Continental, on the latter's first demand, with the deed of assignment. Inter Continental may, at its discretion, also require, in advance, the establishment of a right of pledge without notification to the debtor.
10.3 In the event that the customer fails to fulfil its obligations to pay, the customer will be obliged, without further notice of default, to place the goods owned by them at the disposal of Inter Continental on first demand. Inter Continental and its employees have the right to enter the premises of the customer in order to take actual possession of the delivered goods.
10.4 The customer undertakes to insure the interests of Inter Continental in connection with the retention of title. The customer undertakes to compensate Inter Continental for the loss of this interest in the event of a calamity and, on first demand, to assign its claim on its insurers to Inter Continental.
ARTICLE 11.
Copyright
11.1 Unless otherwise agreed upon in writing, Inter Continental will retain full title to any drawings, descriptions, calculations, diagrams and systems made available to the customer by Inter Continental in connection with the agreement.
ARTICLE 12.
Complaints
12.1 In the event of any complaints about goods delivered by Inter Continental, Inter Continental must be informed thereof by the customer in writing and stating the reasons for the complaint, within not more than 10 working days of receipt of the delivered goods.
12.2 The lodging of a complaint will not release the customer from its obligation to pay the invoice within the period of time agreed upon.
12.3 If a complaint is not lodged in time, the customer is deemed to have unconditionally accepted the delivered goods
12.4. Inter Continental shall determine whether the delivered goods must be returned or whether the customer must keep the goods available, so that Inter Continental will have the opportunity to examine the goods concerned.
12.5 The customer is obliged to follow any further instructions by Inter Continental in respect of that which is set out in Article 12.4, in default whereof the rights of the customer will lapse.
ARTICLE 13.
Liability
13.1 Inter Continental is not liable for damage and/or loss caused by failure to fulfil an agreement, failure to do so in good time or failure to do so properly, or due to any liability for actions of Inter Continental or its employees performed in accordance with the law, or the absence thereof, except and in so far as the customer is able to prove that gross negligence is involved on the part of Inter Continental and/or its executive officers.
13.2 Inter Continental is in no way liable for trading loss and/or consequential loss of the customer.
13.3 Liability for damage and/or loss is expressly limited to the amount of the (sub) invoice of the delivery to which it pertains or at least to which it is connected.
13.4 Inter Continental is never liable for damage and/or loss if the customer has not held Inter Continental liable for the damage and/or loss by registered letter within 14 days of having taken note of the cause of the damage and/or loss and has not offered Inter Continental the opportunity to conduct an investigation into the cause of the damage and/or loss.
13.5 In the event that the customer has any third party perform an act or carry out a treatment on matters delivered by Inter Continental, without having been authorised thereto in writing by Inter Continental, the latter will never be liable for damage caused to these matters by such third party.
13.6 Inter Continental is in no way liable for damage and/or loss and/or penalties as a result of the goods having been exported and after the goods have been exported by the customer or any third party, in particular not if the goods do not comply with the legal and other standards of the country to which they are exported.
13.7 If and in so far as Inter Continental is liable for damage and/or loss of the customer or any third party and is insured against such liability, Inter Continental will only be obliged to compensate the damage and/or loss caused to the customer for an amount not exceeding that which is paid out by its insurer(s). The policy conditions are available for inspection by the customer at Inter Continental.
ARTICLE 14.
Force majeure
14.1 In the event of failure, by either party, in the performance of the agreement, which failure cannot be attributed to the defaulting party, the performance of the agreement or the relevant part of the agreement will be suspended. The parties will inform one another of such a situation as soon as possible. Not until such a suspension has lasted for 3 months, or as soon as it becomes an established fact that such a suspension will last at least 3 months, either of the parties may dissolve the agreement, either in whole or in part, with immediate effect, by registered letter, without the parties being obliged to pay compensation reciprocally for any damage and/or loss incurred, without prejudice to the obligation of the customer to pay Inter Continental for the goods already delivered until the moment of dissolution.
14.2 A non-attributable failing on the part of Inter Continental includes, without limitation:
damage and/or loss as a result of natural disasters and/or storm damage and/or water damage
war, threat of war, and/or any other form of armed conflict, including terrorism or threat thereof in the Netherlands and/or other countries, as a result of which the delivery of goods or raw materials is impeded
industrial actions, forced closure of business, riot and any other form of disturbance and/or impediment caused by any third party, as a result of which the delivery of goods or raw materials is impeded
loss or damage of goods in transport
illness of one or more employees difficult to replace
legislative or administrative measures set by the government as a result of which deliveries are impeded, including import and export prohibitions
prohibition or impediment of delivery imposed on Inter Continental by organisations, institutions, groups or contractual forms of cooperation, to which Inter Continental is affiliated or of which it is a part

9.3 If Inter Continental has undertaken to deliver to the address stated by the customer, Inter Continental is free to decide on the transport. In that case, the customer is obliged, in the event of damage and/or loss caused during the transport, to take the necessary steps for recourse against the carrier, in good time. The customer shall, under penalty of forfeiture of all claims, inform Inter Continental forthwith of the assessed damage and/or loss, as well as the steps taken against the carrier.
ARTICLE 10.

10.1 Until such time as the customer has fully discharged all obligations towards Inter Continental, Inter Continental will retain title to the delivered goods and this at the expense and risk of the customer. 12.5 The customer is obliged to follow any further instructions by Inter Continental in respect of that which is set out in Article 12.4, in default whereof the rights of the customer will lapse.
ARTICLE 13.
Liability
13.1 Inter Continental is not liable for damage and/or loss caused by failure to fulfil an agreement, failure to do so in good time or failure to do so properly, or due to any liability for actions of Inter Continental or its employees performed in accordance with the law, or the absence thereof, except and in so far as the customer is able to prove that gross negligence is involved on the part of Inter Continental and/or its executive officers.
13.2 Inter Continental is in no way liable for trading loss and/or consequential loss of the customer.
13.3 Liability for damage and/or loss is expressly limited to the amount of the (sub) invoice of the delivery to which it pertains or at least to which it is connected.
13.4 Inter Continental is never liable for damage and/or loss if the customer has not held Inter Continental liable for the damage and/or loss by registered letter within 14 days of having taken note of the cause of the damage and/or loss and has not offered Inter Continental the opportunity to conduct an investigation into the cause of the damage and/or loss.
13.5 In the event that the customer has any third party perform an act or carry out a treatment on matters delivered by Inter Continental, without having been authorised thereto in writing by Inter Continental, the latter will never be liable for damage caused to these matters by such third party.
13.6 Inter Continental is in no way liable for damage and/or loss and/or penalties as a result of the goods having been exported and after the goods have been exported by the customer or any third party, in particular not if the goods do not comply with the legal and other standards of the country to which they are exported.
13.7 If and in so far as Inter Continental is liable for damage and/or loss of the customer or any third party and is insured against such liability, Inter Continental will only be obliged to compensate the damage and/or loss caused to the customer for an amount not exceeding that which is paid out by its insurer(s). The policy conditions are available for inspection by the customer at Inter Continental.
ARTICLE 14.
Force majeure
14.1 In the event of failure, by either party, in the performance of the agreement, which failure cannot be attributed to the defaulting party, the performance of the agreement or the relevant part of the agreement will be suspended. The parties will inform one another of such a situation as soon as possible. Not until such a suspension has lasted for 3 months, or as soon as it becomes an established fact that such a suspension will last at least 3 months, either of the parties may dissolve the agreement, either in whole or in part, with immediate effect, by registered letter, without the parties being obliged to pay compensation reciprocally for any damage and/or loss incurred, without prejudice to the obligation of the customer to pay Inter Continental for the goods already delivered until the moment of dissolution.
14.2 A non-attributable failing on the part of Inter Continental includes, without limitation:
damage and/or loss as a result of natural disasters and/or storm damage and/or water damage
war, threat of war, and/or any other form of armed conflict, including terrorism or threat thereof in the Netherlands and/or other countries, as a result of which the delivery of goods or raw materials is impeded
industrial actions, forced closure of business, riot and any other form of disturbance and/or impediment caused by any third party, as a result of which the delivery of goods or raw materials is impeded
loss or damage of goods in transport
illness of one or more employees difficult to replace
legislative or administrative measures set by the government as a result of which deliveries are impeded, including import and export prohibitions
prohibition or impediment of delivery imposed on Inter Continental by organisations, institutions, groups or contractual forms of cooperation, to which Inter Continental is affiliated or of which it is a part
lack and/or breakdown of means of transport, production equipment or power supply
fire or accidents in the company of Inter Continental
non-delivery or late delivery to Inter Continental by suppliers
delay in the supply of goods, raw materials and/or power
ARTICLE 15
Termination
15.1 In the event that the customer remains in default with timely payment or fulfilment of other obligations towards Inter Continental, the latter is authorised, after prior notice of default with a time-limit of 14 days, except where the agreement or the General Terms and Conditions contains a clear time-limit for fulfilment of obligations, to deem the agreement to be dissolved by operation of law, without prejudice to the right of Inter Continental to full compensation of costs, damage and interest.
15.2 A similar authority as in 15.1 is vested in Inter Continental if a provisional moratorium on payments has been applied for by the customer or the petition for involuntary liquidation of the customer has been filed or goods of the customer have been seized, in case of strikes or winding-up of the customer's company or in those cases where, in the opinion of Inter Continental, there is a question of reduced creditworthiness of the customer.
ARTICLE 16.
Other stipulations
16.1 The customer is obliged to indemnify Inter Continental against all costs incurred and damage and/or loss sustained by Inter Continental as a result of a third party bringing an action against Inter Continental in respect of a fact for which liability towards the customer is excluded in these General Terms and Conditions.
16.2 All stipulations regarding the exclusion of limitation of liability of Inter Continental and regarding the indemnification of Inter Continental against claims from third parties have also been included for the benefit of those in the employ of Inter Continental, as well as third parties for whose acts or omissions Inter Continental is liable.
16.3 Should one of the stipulations of these General Terms and Conditions be judged null and void, this shall have no consequences for the other stipulations of these General Terms and Conditions.
ARTICLE 17.
Applicable law
17.1 All negotiations and agreements to which these General Terms and Conditions apply are governed by the laws of the Netherlands .
17.2 The Vienna Sales Convention concluded in Vienna on 11 April 1980 is not applicable.
ARTICLE 18.
Competent court
18.1 Any disputes that may arise by reason of an agreement to which these General Terms and Conditions apply, will be resolved in the first instance by the court which has jurisdiction in the Netherlands in the district of ‘s-Hertogenbosch.
General terms and conditions of sale and delivery
Of Inter Continental Chemicals and Equipment B.V., having its registered office at Zuiddijk 19, 5705 CS Helmond , the Netherlands , Registered with the Chamber of Commerce Zuid-Oost Brabant, under number 17029417.
ARTICLE 1.
Applicability
1.1 These General Terms and Conditions are applicable to all negotiations, quotations, agreements, work orders and deliveries of the private company with limited liability Inter Continental Chemicals and Equipment B.V. and its affiliated companies and executive officers, hereinafter also referred to as Inter Continental.
1.2. Inter Continental explicitly rejects the applicability of General Terms and Conditions that have been or will be declared applicable by customers, unless and in so far as Inter Continental explicitly accepts the applicability thereof, in writing.
1.3 These General Terms and Conditions also apply to all acts, deliveries and practices of Inter Continental prior to the conclusion of an agreement.
ARTICLE 2.
Offers and confirmations
2.1 The offers of Inter Continental are without obligation and may be withdrawn or modified until such time as Inter Continental has confirmed to its customers that it agrees with the acceptance thereof.
2.2 Acts, notifications, commitments or orders noted by Inter Continental shall only be binding upon Inter Continental if and in so far as these have been confirmed in writing by Inter Continental.
2.3 Offers shall, subject to the provisions referred to in 2.1, be valid during the period referred to in the offer.
ARTICLE 3.
Agreement
3.1 An agreement between the parties will be concluded either in writing or due to the fact that Inter Continental has commenced with the performance of services. The confirmation of order sent by Inter Continental or, in the absence thereof, the delivery note, count as conclusive evidence of the agreement, or, in the absence thereof, the invoice, except for any inaccuracies, which the customer has made known in writing within 8 days of the date of dispatch.
3.2 An agreement concluded by a customer with a representative or intermediary of Inter Continental shall only be valid if and in so far as the representative or intermediary is in the possession of a written power of attorney for this purpose.
3.3 With respect to the customer, the accounts of Inter Continental have complete evidential value.
ARTICLE 4.
Prices
4.1 Unless otherwise agreed upon in writing, in respect of orders accepted by Inter Continental, the prices and conditions shall apply as from the date on which the order is confirmed in writing.
4.2. The prices referred to in paragraph 1 of this article are exclusive of the relevant turnover tax, import duties and other levies that may be due and are valid at the time the agreement is concluded.
4.3 In the event that, after the agreement was concluded, yet prior to delivery, any changes occur in material prices, (labour) costs, social security costs or taxes, import and export duties, Inter Continental shall have the right to still pass these on, irrespective of whether these changes were foreseeable.
ARTICLE 5.
Payments
5.1 Inter Continental requires all its customers at all times to pay in cash prior to and not later than the time of delivery, or Inter Continental will be entitled to demand that the customer provide security in the form of a bank guarantee, or in any other manner to be specified by Inter Continental, for the fulfilment of its obligations arising from any agreement with Inter Continental.
5.2. In the event that security is provided in the form of a bank guarantee and if the agreed upon terms of payment are observed by the customer, the customer is entitled to decrease the provided security pro rata.
5.3 In the event that the customer is in default as regards payment or provision of security, Inter Continental will be entitled, without prior notice of default being required, to suspend the performance of its obligations, without prejudice to its other powers by virtue of the law or agreement.
5.4 In the event that the customer is in default as regards payment, all extrajudicial costs for collection of the claim by Inter Continental shall be borne by the customer. The extrajudicial costs will now for then be fixed at 12% of the amount due, with a minimum of EUR 500. These costs will already be due and payable from the moment the claim is passed on for collection.
5.5 In case of overdue payment, the customer will also owe interest of 1.0% a month over the outstanding amount, beginning on the day on which the claim has become due and payable, in which respect part of a month is counted as a whole month, without any notice of default being required with regard thereto by means of a written statement.
ARTICLE 6.
Inspections
6.1 In the event that inspections have been agreed upon with the customer, these inspections will always take place in accordance with the inspection method, inspection procedures and inspection periods agreed upon or to be agreed upon in good time or, in the absence thereof, in accordance with the inspection method, procedures and periods commonly used at Inter Continental. Inspections may not become a cause of delays in the purchase process.
6.2 In the event that Inter Continental has passed on the date of the inspection to the customer within the agreed upon period, or at least in good time, and the customer does not act upon this invitation, the goods will be considered to have been approved.
6.3 Inter Continental will be given the opportunity to react to the comments and objections of the customer with regard to the inspection or test, before the objects can be rejected or refused by the customer.
ARTICLE 7.
Delivery period
7.1 Delivery periods stated will be approximate, unless otherwise agreed upon in writing.
7.2 The delivery period agreed upon will commence as soon as Inter Continental has accepted the order in writing, is in possession of all the objects, documents and information to be provided by the customer with the order and Inter Continental has received any advance payment agreed upon.
7.3 With regard to the delivery period, goods will be considered delivered as soon as Inter Continental has given notification of its readiness for dispatch or testing.
ARTICLE 8.
Delivery
8.1 In so far as not otherwise agreed upon, delivery will take place ex factory.
8.2 For an explanation of the business terms used in this article, the most recent edition of the Incoterms applies, published by the International Chamber of Commerce in Paris .
8.3 In derogation of the provisions of this Incoterms, acts of war are at the expense and risk
of the customer from the date of the confirmation of order.
8.4 In the event that delivery of the goods is refused by the customer, the risk of the goods will pass immediately to the customer and Inter Continental can immediately claim payment. Inter Continental will keep the goods at the expense and risk of the customer until further notice.
8.5 Inter Continental has the right, should the customer remain in default after a demand for payment, to dispose of the goods or put these to another use. Any proceeds thereof will be credited to the customer, after deduction of all the costs related thereto, without prejudice to the right of Inter Continental to full payment of the agreed price.
ARTICLE 9.
Dispatch
9.1 The loading and transport of the goods in the case of delivery ex factory will be at the expense and risk of the customer.
9.2 If Inter Continental, in the case of delivery ex factory, takes out goods-in-transit insurance for the commissioning party, this will be at the expense and risk of the customer.
9.3 If Inter Continental has undertaken to deliver to the address stated by the customer, Inter Continental is free to decide on the transport. In that case, the customer is obliged, in the event of damage and/or loss caused during the transport, to take the necessary steps for recourse against the carrier, in good time. The customer shall, under penalty of forfeiture of all claims, inform Inter Continental forthwith of the assessed damage and/or loss, as well as the steps taken against the carrier.
ARTICLE 10.
Retention of title
10.1 Until such time as the customer has fully discharged all obligations towards Inter Continental, Inter Continental will retain title to the delivered goods and this at the expense and risk of the customer. In that case, the customer will be expected to keep the goods for Inter Continental until such time as the customer has fully discharged its obligations towards Inter Continental.
10.2 Until such time as the ownership of the goods has passed to the customer, the customer will not have the right to alienate, rent out or encumber the goods in any way, except and in so far as this concerns the normal operating of the business, such after permission from Inter Continental, in which case the customer will assign, now for then, the customer's claim on any third party to Inter Continental and will provide Inter Continental, on the latter's first demand, with the deed of assignment. Inter Continental may, at its discretion, also require, in advance, the establishment of a right of pledge without notification to the debtor.
10.3 In the event that the customer fails to fulfil its obligations to pay, the customer will be obliged, without further notice of default, to place the goods owned by them at the disposal of Inter Continental on first demand. Inter Continental and its employees have the right to enter the premises of the customer in order to take actual possession of the delivered goods.
10.4 The customer undertakes to insure the interests of Inter Continental in connection with the retention of title. The customer undertakes to compensate Inter Continental for the loss of this interest in the event of a calamity and, on first demand, to assign its claim on its insurers to Inter Continental.
ARTICLE 11.
Copyright
11.1 Unless otherwise agreed upon in writing, Inter Continental will retain full title to any drawings, descriptions, calculations, diagrams and systems made available to the customer by Inter Continental in connection with the agreement.
ARTICLE 12.
Complaints
12.1 In the event of any complaints about goods delivered by Inter Continental, Inter Continental must be informed thereof by the customer in writing and stating the reasons for the complaint, within not more than 10 working days of receipt of the delivered goods.
12.2 The lodging of a complaint will not release the customer from its obligation to pay the invoice within the period of time agreed upon.
12.3 If a complaint is not lodged in time, the customer is deemed to have unconditionally accepted the delivered goods
12.4. Inter Continental shall determine whether the delivered goods must be returned or whether the customer must keep the goods available, so that Inter Continental will have the opportunity to examine the goods concerned.
12.5 The customer is obliged to follow any further instructions by Inter Continental in respect of that which is set out in Article 12.4, in default whereof the rights of the customer will lapse.
